Terms and Conditions

These Terms and Conditions ("Terms" or "Agreement") are a legally binding agreement between you as the user ("you," "User," or "Licensee") and BuilderScopes LLC, a Pennsylvania limited liability company with its principal place of business at 780 Newtown-Yardley Rd, Suite 310A, Newtown, PA 18940 ("BuilderScopes," "we," "us," or "our"). These Terms govern your access to and use of the BuilderScopes website and platform, including all content, functionality, and services offered through the platform (the "Service").

BY ACCESSING, REGISTERING FOR, OR USING THE SERVICE, OR BY PURCHASING ANY PRODUCT, YOU REPRESENT THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MAY NOT USE THE SERVICE.

If you are accessing or using the Service on behalf of a corporation, partnership, or other entity, you represent and warrant that you have the legal authority to bind that entity to this Agreement. References to "you" include both the individual user and any such entity.

1. Description of Service

BuilderScopes provides a software-as-a-service platform that allows licensed home builders, general contractors, and construction professionals to purchase, customize, and generate Scope of Work documents ("Scope Documents") for use with trade partners, subcontractors, and suppliers. Scope Documents are provided as downloadable Microsoft Word files that users may customize with their own branding, terminology, and project-specific information within the scope of their license.

2. License

2.1 Grant of License. Upon completing a purchase, BuilderScopes grants you a limited, revocable, non-exclusive, non-assignable, non-sublicensable license to access, use, and customize the purchased Scope Documents solely for your internal business operations. This license is granted to the purchasing entity only.

2.2 Restrictions. You may not, directly or indirectly: (a) resell, redistribute, sublicense, or transfer any Scope Document or any portion thereof to any third party; (b) use any Scope Document to create a competing product or service; (c) remove, alter, or obscure any copyright notice or proprietary legend contained in any Scope Document; (d) share login credentials or provide account access to unauthorized users; or (e) use the Service for any unlawful purpose.

2.3 Reservation of Rights. All rights not expressly granted herein are reserved by BuilderScopes LLC. Your customization of a Scope Document with your branding or terminology does not transfer ownership of the underlying content, structure, or language to you.

3. Intellectual Property

All Scope Document content, templates, language, structure, formatting, and underlying materials are the exclusive intellectual property of BuilderScopes LLC and are protected by United States copyright law and applicable international intellectual property treaties. Unauthorized reproduction, distribution, resale, or transfer of any Scope Document or portion thereof is strictly prohibited and may result in civil and criminal legal action.

5. No Warranty

5.1 THE SERVICE AND ALL SCOPE DOCUMENTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. BUILDERSCOPES LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT.

5.2 BUILDERSCOPES LLC DOES NOT WARRANT THAT ANY SCOPE DOCUMENT IS LEGALLY SUFFICIENT TO CREATE AN ENFORCEABLE CONTRACT BETWEEN YOU AND ANY TRADE PARTNER, SUBCONTRACTOR, OR SUPPLIER. YOU ARE SOLELY RESPONSIBLE FOR ENSURING THAT ANY SCOPE DOCUMENT YOU USE IS REVIEWED BY QUALIFIED LEGAL COUNSEL AND IS APPROPRIATE FOR YOUR SPECIFIC PROJECT, JURISDICTION, AND BUSINESS RELATIONSHIP.

5.3 BUILDERSCOPES LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

6. Limitation of Liability

6.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUILDERSCOPES LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, PERSONAL INJURY, PROPERTY DAMAGE, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE OR ANY SCOPE DOCUMENT, REGARDLESS OF WHETHER BUILDERSCOPES HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUILDERSCOPES LLC'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO BUILDERSCOPES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

7. Indemnification

You agree to indemnify, defend, and hold harmless BuilderScopes LLC and its members, officers, employees, agents, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service or any Scope Document; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) any claim by a trade partner, subcontractor, supplier, or other third party arising from work performed under a Scope of Work generated through the Service; (e) any injury, death, property damage, or regulatory violation occurring on any jobsite where a BuilderScopes document was used; or (f) your infringement of any intellectual property or other right of any person or entity.

8. Payment and Refund Policy

8.1 All purchases are processed securely through Stripe. By completing a purchase, you authorize BuilderScopes LLC to charge your payment method for the amount displayed at checkout. All prices are in U.S. dollars.

8.2 ALL SALES ARE FINAL. Due to the digital and immediately accessible nature of the Scope Documents, BuilderScopes LLC does not offer refunds once a purchase has been completed. If you experience a technical issue preventing access to a purchased document, contact us at support@builderscopes.com and we will work to resolve the issue promptly.

8.3 BuilderScopes reserves the right to modify pricing at any time. Price changes will not affect purchases already completed.

9. Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to: (a) provide accurate, current, and complete information when registering; (b) notify BuilderScopes immediately of any unauthorized use of your account; and (c) ensure you log out at the end of each session. BuilderScopes LLC will not be liable for any loss resulting from unauthorized use of your account due to your failure to maintain credential security.

10. Acceptance of Terms and Updates

10.1 By creating an account, you confirm that you have read and agree to these Terms.

10.2 BuilderScopes LLC reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms with a revised effective date and, where practicable, by email. If you do not agree to the updated Terms, you must stop using the Service.

10.3 Your continued use of the Service after the effective date of any update constitutes your acceptance of the revised Terms. Where required by applicable law, we will obtain your affirmative consent before material changes take effect.

11. Prohibited Uses

You agree that you will not: (a) resell, redistribute, or sublicense any Scope Document; (b) use the Service to develop a competing product; (c) remove any copyright or proprietary notices; (d) upload viruses or malicious code; (e) attempt to gain unauthorized access to any portion of the Service; (f) use the Service in any unlawful manner; (g) impersonate any person or entity; or (h) use automated tools to scrape or extract content from the Service.

12. Termination

12.1 BuilderScopes LLC may suspend or terminate your account and access to the Service at any time, with or without cause and with or without notice, including for violation of these Terms.

12.2 Upon termination: (a) your license to use the Service and all Scope Documents accessed through the platform immediately ceases; (b) you must cease all use of the Service; and (c) you may not attempt to re-register under any name without prior written consent.

12.3 Provisions that by their nature should survive termination shall survive, including Sections 3, 4, 5, 6, 7, and 13.

13. Disputes, Arbitration, and Class Action Waiver

13.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law provisions.

13.2 Arbitration. Any dispute, claim, or controversy arising out of or relating to this Agreement or the Service, including the determination of the scope or applicability of this arbitration agreement, shall be resolved by binding arbitration before one arbitrator administered by JAMS pursuant to its Comprehensive Arbitration Rules and Procedures. Arbitration shall be conducted in Pennsylvania or, if unreasonably burdensome to you, by telephone or video conference. Judgment on the award may be entered in any court of competent jurisdiction.

13.3 No Class Actions. ALL CLAIMS MUST BE BROUGHT ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over any representative proceeding.

13.4 Exceptions. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent unauthorized use of intellectual property or other irreparable harm.

13.5 Severability. If any portion of this Section 13 is found unenforceable, the remaining arbitration provisions shall remain in effect, except that if the class action waiver is found unenforceable, this entire Section 13 shall be null and void.

14. Consent to Electronic Communication

By creating an account or providing your email address, you consent to receive electronic communications from BuilderScopes LLC regarding your account, purchases, and updates to these Terms. You agree that electronic communications satisfy any legal requirement that such communications be in writing.

15. Miscellaneous

15.1 No Assignment. You may not assign or transfer your rights under this Agreement without prior written consent from BuilderScopes LLC. BuilderScopes may assign this Agreement without restriction.

15.2 Entire Agreement. These Terms constitute the entire agreement between you and BuilderScopes LLC with respect to the Service and supersede all prior agreements and understandings.

15.3 Severability. If any provision is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.

15.4 No Waiver. Failure by either party to enforce any provision shall not constitute a waiver of future enforcement.

15.5 Pennsylvania Residents. To the extent any provision of these Terms conflicts with mandatory Pennsylvania consumer protection law, such provision shall be modified only to the minimum extent necessary to comply.
